RICHARD N. GRAY has been in practice since 1969 as both a litigator and corporate counsel. His litigation experience involves securities, corporate, proxy and tender offer, trademark, copyright, non-compete, insurance, real estate, employment, class action and other commercial litigation. In his corporate practice, Mr. Gray has represented numerous diverse companies, including computer software companies, insurance agencies and brokerage firms, manufacturing companies, restaurants, an art gallery and a variety of other businesses. His representation of these businesses has included the formation of new business, negotiation and drafting of shareholders and employment agreements; mergers, acquisitions and divestitures; private placement transactions; consultation and advice regarding shareholders' and directors' meetings; negotiation and drafting of software and other licensing agreements; and general advice regarding diverse business matters. Mr. Gray is of counsel to the firm in its New York office.
